Partioning a fat 32 section

I have an external HD that I want to use for windows AND Mac...obviously...NTFS doesn't work. So I need to format it for fat 32 so both mac and windows can use it.....
How do I do this?

Disk Utility can do that but it is called MS-DOS not FAT32,
Note: files over 4GB won't work.

is there another way to transfer files to and from the two OS's?

A LAN would work. Mac can also read NTSF but not write. There is also software for PC that can read Mac formatted disks.
