Actually, they offered to license their process tech. Lest anyone forget, Moto's process tech is quite good. They were ahead of the curve adopting copper interconnects, SOI, etc.
Their "Black Diamond" process (not 100% theirs, of course - I think Dow Corning supplies the basic materials) Took the 1GHz 7455 to 1.42GHz at the same 180nm node, and in a Moto fab no less. That's not too shabby.
